# What is Orby?

Welcome to Orby Network, Cronos’ first native stablecoin lending protocol! Imagine a platform that allows you to access liquidity without worrying about incurring high or unpredictable interest costs, all while preserving and growing your deposited assets. Orby Network is designed to make lending on DeFi easy, safe, and accessible.&#x20;

Orby enables the borrowing of **$USC**, a decentralized, overcollateralized stablecoin.

# What is $USC?

$USC is Orby's decentralized, overcollateralized **stablecoin** that is soft-pegged to the **US dollar.**&#x20;

$USC will essentially function as 3 things:

* **A store of value.** As a stablecoin, $USC is designed to **hold its value** to a peg in spite of volatility
* **A unit of exchange.** With the above property as a stable store of value, $USC is designed to be used to facilitate transactions
* **A unit of account.** $USC will function as a unit of measurement for on-chain products, similar to how FIAT currencies denominate off-chain goods and services

# Tokenomics

**Introducing** [**$ORB**](https://doc.orby.network/overview/tokenomics/usdorb) **and** [**$esORB**](https://doc.orby.network/overview/tokenomics/usdesorb)

Orby’s ecosystem is driven by 2 tokens, namely **$ORB** and **$esORB**.

**$ORB** is the tradable version of $esORB. It can be obtained through:&#x20;

1. Our [Airdrop Campaign](https://doc.orby.network/overview/airdrop-campaign),&#x20;
2. Any available CEX/DEX, or&#x20;

# Borrowing $USC

$USC is an overcollateralized [stablecoin](https://doc.orby.network/introduction/what-is-usdusc). This means you need to deposit more [collateral](https://doc.orby.network/overview/supported-collateral) in order to borrow it. *For steps on how to borrow $USC, please click* [*here*](https://doc.orby.network/user-guide/how-to-borrow-usdusc)*.*

**To get started:**

* Users will need to [open up a shuttle](https://doc.orby.network/overview/usdusc-borrowing-and-repayment/borrowing-usdusc) in order to borrow $USC.&#x20;
  * A minimum debt of $USC 100 must be maintained in this shuttle in order for it to remain active.
* Users deposit accepted [collateral](https://doc.orby.network/overview/supported-collateral) in order to borrow (mint) $USC
  * The maximum allowable amount is determined by the [minimum collateral ratio](https://doc.orby.network/overview/supported-collateral/collateral-risk-parameters) (USD value of collateral / USD value of debt). <br>

A borrowing fee and a liquidation reserve will also be added to the user’s debt position.&#x20;

* [**Borrowing fee**](https://doc.orby.network/overview/usduscs-peg-stability-and-redemptions/base-rate#borrowing-repayment-fees)**:** a variable fee that is charged every time new $USC is minted&#x20;
* **Liquidation reserve:** a $USC 20 reserve is added to a user’s debt position, which is set aside as gas compensation for liquidators should the shuttle be liquidated. This deposit is “refundable” (i.e. burnt) if the shuttle does not get liquidated while active<br>

A shuttle’s collateral ratio is continuously updated relative to the asset prices as reflected by our oracle, and is calculated as follows:

A shuttle represents your collateralised debt position (CDP). Within each shuttle, you will find a record of the amount of collateral you have deposited, and the amount of debt you have incurred.

<summary>What is the minimum amount of debt I can borrow?</summary>

You have to borrow at least USC 100.

That means, the minimum amount of collateral (with regards to $cdcETH) that you need to deposit is USD135.&#x20;

However, we recommend that you deposit at least USD180 worth of [collateral](https://doc.orby.network/overview/supported-collateral) to borrow USC 100 of debt. This helps to keep your collateral ratio at a healthier level of 180%, which lowers your chances of getting liquidated or redeemed against.&#x20;

<summary>What does it mean to keep my shuttle "active"?</summary>

If you are borrowing $USC, this means your shuttle is active. If you have repaid all your debt, your shuttle will close (i.e. inactive).

In order to keep your shuttle active, you need to maintain a debt of at least USC 100 in it.&#x20;

For example, if you have borrowed $150 USC, you either can partially repay a maximum of $50 USC (you need to keep at least USC 100 in the shuttle to keep it active), or fully repay the $150 USC.&#x20;

The primary fee you will incur is the variable borrowing fee.

The liquidation reserve is ONLY charged to you if you get liquidated. Otherwise, this fee is cancelled off from your debt.&#x20;

The $100 USC that you borrowed is the amount of $USC that gets sent to your wallet for your use.

However, as mentioned, you will incur 2 types of charges when your borrow $USC: 1) a variable borrowing fee, and 2) a 20 USC liquidation reserve.

So if the borrowing fee is currently 0.5%, then your total borrow amount = amount receive in wallet + liquidation reserve + borrowing fee = $100 + $20 + $0.50 = $120.50

# Repaying $USC

To withdraw your collateral, you must first repay borrowed $USC. When $USC debt is repaid, these $USC tokens are burnt (removed from circulation). *For steps on how to repay $USC, please click* [*here*](https://doc.orby.network/user-guide/how-to-repay-usdusc)*.*

Here's what you need to know about the repayment process:&#x20;

1. A **minimum of 100 $USC** must remain in a shuttle to keep it active.
2. If you repay your entire debt, your shuttle will be **closed** (become inactive).
3. **Liquidation Reserve Policy:** If your shuttle is closed, the **20 $USC liquidation reserve** is **not refundable**—it will be burnt and permanently removed from circulation.

#### Important Note

You **do not** need to repay the **20 $USC liquidation reserve** unless you are **liquidated**. This reserve is only deducted in the event of liquidation and is not part of your repayable debt.

That's because you don't have to repay the USC20 liquidation reserve. This reserve is ONLY charged to you if you get liquidated.&#x20;

You can either choose to 1) fully repay or 2) partially repay your debt. If you partially repay your debt, keep in mind you need to maintain at least USC100 in your shuttle at all times.&#x20;

For example, if you have borrowed $120.50 USC, this is how much you need to repay:

* Full repayment = shuttle debt amount - liquidation reserve = 120.50 USC - 20 USC = 100.50 USC
* Max partial repayment = shuttle debt amount - liquidation reserve - minimum USC 100 in a shuttle = 120.50 USC - 20 USC - 100 USC = 0.50 USC&#x20;

# Supported Collateral

Our vision is for $USC to be an overcollateralized stablecoin backed by multiple collateral types. At launch, CDCETH was the first collateral to be supported. We’ve since expanded support to include cdcBTC and LCRO, offering users greater flexibility and utility. Orby now supports **CRO as a collateral option** for the LCRO Shuttle.<br>

CDCETH is a type of receipt token representing staked Ether (ETH) and any accrued staking rewards. Read more about the token [here](https://crypto.com/document/cdceth_whitepaper).<br>

CDCBTC is a token backed 1:1 by native Bitcoin (BTC), with the underlying BTC securely held in cold storage under Crypto.com’s custody. Read the whitepaper [here](https://crypto.com/document/cdcbtc-whitepaper.pdf).<br>

LCRO is a liquid staking token that represents staked CRO through Veno. It is a yield-bearing, auto-compounding asset, allowing users to passively earn staking rewards. Read more [here](https://crypto.com/en/product-news/crypto-com-app-lists-liquid-cro-lcro).

CRO is the native token of the Cronos chain. Read more [here](https://crypto.com/price/cronos). In order to use CRO as collateral, you will need to do the following:

* Open a new LCRO Shuttle using **CRO as collateral**
* Add **CRO** to LCRO Shuttle
* Withdraw collateral in **CRO** instead of LCRO
* Repay full debt and receive **CRO** back into their wallet

Orby handles the swap between **CRO ⇄ LCRO** in the background via Ferro or VVS, using the most efficient route based on price, slippage, and swap fees.

# Collateral Risk Parameters

The minimum collateral ratio (MCR) works to ensure that $USC remains overcollateralized at all times. Every shuttle must have a debt position above MCR in order to remain active.&#x20;

To recap, collateral ratio is calculated as follows:

*Collateral ratio = (amount of collateral in USD / amount of $USC borrowed in USD) \* 100*

The MCR is dependent on our risk assessment of the underlying collateral type. <br>

# Liquidations

To keep the entire $USC supply fully backed, any shuttle that falls [**below the Minimum Collateral Ratio (MCR)**](https://doc.orby.network/overview/supported-collateral/collateral-risk-parameters) will be **fully liquidated**.

**How Liquidation Works:**

1. A shuttle is flagged for liquidation when its collateral ratio drops below the MCR.
2. A liquidator detects the flagged shuttle and starts the liquidation process.
3. The shuttle’s debt is erased using $USC from the Stability Pool (this $USC is then burned).
4. The shuttle’s collateral is distributed as follows:
   * 0.5% + the 20 $USC liquidation reserve go to the liquidator.
   * 99.5% goes to Stability Pool depositors.
5. The shuttle is closed, and the owner keeps their remaining borrowed $USC.

# Stability Pool

The **Stability Pool (SP)** is the primary source of funds for liquidations on Orby Network. * **No minimum lockup** – deposit and withdraw anytime.

Any $USC deposited in the Stability Pool will be used to pay a liquidated user's debt. Hence, you will expect to see your $USC in the pool decline. However, you will instead receive your collateral at a discounted rate in return.&#x20;

For example, a user with a collateral ratio of 135% (USC 100 worth of borrowing) gets liquidated. $100 will be taken from the Stability Pool (SP) to pay off his debt, and $135 of his $cdcETH collateral will be sent to the Pool and distributed between liquidity providers and the liquidator.&#x20;

This essentially means that SP providers (excluding the liquidator) paid $100 for $134.325 worth of $cdcETH.&#x20;

Yes - unless there are undercollateralized positions that have yet to be liquidated. In such a scenario, withdrawals will be halted until all underwater positions are liquidated.

# $USC's peg stability & Redemptions

Each $USC is pegged to the value of 1 USD. As such, this parity between $USC and USD is anchored in the system as equilibria - users naturally view $1 to be the point of reversion for $USC during periods of volatility. In addition to this, any $USC that is minted, repaid or redeemed on Orby Network is settled at parity value of $1.

With this anchor point and condition in mind, there are actions that users can take in times where $USC is temporarily depegged:<br>

If $USC trades for more than target price ($1):

* Users deposit collateral and mint $USC
* Users then sell $USC at higher price on the open market
* Price gradually decreases back to peg

If $USC trades for less than target price ($1):

* Users buy $USC at a lower price on the open market
* Users repay their debt at parity value
* Price gradually increases back to peg<br>

Over time, these actions naturally bring the peg back to 1:1 and reinforces the validity of the soft peg.

## Price ceiling

Intrinsically, $USC has a price ceiling of $1.35. Since the protocol currently has a [Minimum Collateralisation Ratio](/overview/supported-collateral/collateral-risk-parameters) of 135%, anytime USC trades above $1.35, users can take out a minimum loan on their collateral to borrow $USC and sell it on the market. Even if a liquidation occurs they make a profit of the price difference between the market and $1.35.

# Base Rate

### **Borrowing / Repayment Fees**

* (Normal) Borrowing Fees: borrowing\_amount \* (BASE\_RATE + 0.5%) (up to a max of 5%)&#x20;
* (Recovery Mode) borrowing Fees: 0%
* Repayment Fees: 0%

For example, when the borrowing fee stands at 1.5% (base rate = 1%), and the borrower wants to borrow 1,000 $USC. The borrower will incur a debt of 1,000 \* (1+1.5%) + 20 = 1,035 $USC after the Borrowing fee and liquidation reserve is added.&#x20;

### **Redemption Fees**

* Redemption Fees: redemption\_amount \* (BASE\_RATE + 0.5%) (up to a max of 5%)

The Base Rate is the key variable that acts as a soft peg mechanism by encouraging or discouraging the borrowing of $USC. <br>

This Base Rate starts off at 0 but increases with every redemption event:

If redemption demand is high, it likely indicates a high supply of $USC, and that it’s trading below peg. An increase in the Base Rate makes it expensive to borrow more $USC, effectively curbing the supply of new loans. This decrease in $USC supply over time gradually pushes the price back up to peg.<br>

The Base Rate has a decay factor from the time since the last fee event, be it the last borrowing or redemption of $USC. With the current set up, the half life of the Base Rate (time it takes for Base Rate to halve from last event) is half a day:

* Base Rate (t) = Base Rate(last fee event) \* b^(block since last fee event / blocks produced in ½ day), b = 0.5

No fee events likely indicate that fees are too high for both redemptions or borrowing. This decay helps regulate fees when it becomes too exorbitant for market conditions.

**How It Works:**

* 1 $USC can always be redeemed for USD 1 worth of collateral on Orby’s platform.
* This Redemption Mechanism helps maintain the $USC peg when its value falls below USD 1.
* Users can buy discounted $USC from the market and redeem it 1:1 for USD worth of the underlying collateral, helping to push the price back to peg.

# Recovery Mode

Recovery Mode activates when [**Total Collateral Ratio (TCR)**](https://doc.orby.network/overview/supported-collateral/collateral-risk-parameters) of a **specific collateral** falls below a set level. A TCR above the set level is considered healthy/normal.&#x20;

**TCR Formula:**

* Total dollar value of the respective collateral / Total dollar value of the corresponding debt&#x20;

#### **Collateral-Specific TCR:**

* Each collateral type has its own TCR, so values may differ.
  * Example: cdcETH TCR = 150% (another collateral might have a higher TCR).
* One collateral may be in Recovery Mode while another remains normal.

### Impact of Recovery Mode:

Using the above example, if **cdcETH** enters Recovery Mode:

* **Liquidation:**
  * Shuttles with a Total Collateral Ratio (TCR) below 150% can be liquidated.
* **Borrowing Restrictions:**
  * You will blocked from **cdcETH** borrowing that lowers the TCR further.
  * To borrow more, users must either:
    * Increase the Collateral Ratio of existing shuttles.
    * Open a new shuttle with a CR ≥ 150%.
* **Borrowing Cost:**
  * Reduced to 0% to encourage new and safe borrowing that meets the above criteria
* **Other Collaterals:**
  * Unaffected if those specific collaterals are not in Recovery Mode.

### Liquidation Details in Recovery Mode

In **Recovery Mode**, liquidation loss is limited to the [**Minimum Collateral Ratio (MCR)**](https://doc.orby.network/overview/supported-collateral/collateral-risk-parameters). This means that liquidators can only repay a shuttle’s debt **up to the MCR**.

* Any remaining collateral (between the **MCR and TCR**) can be **reclaimed by the borrower** through the standard shuttle interface.

**For Example, assume you have the following:**

* **Collateral:** $149
* **Debt:** $100
* **TCR:** 150%
* **MCR:** 135%
* **Liquidation Process:**
  * The user (CR of **149%**) will be flagged for liquidation.
  * **$100 of debt** will be repaid.
  * **$135 of collateral** is transferred out and split between the **liquidator** and **Stability Pool depositors**.
  * The user can **reclaim the remaining $14** of CDCETH.

6. The Protocol reserves the right to request further information from you to verify your identity and eligibility.&#x20;
7. The Protocol at its sole discretion will determine the eligibility criteria for participation in the Airdrop, including the amount of Tokens to be distributed to eligible. Different eligible Participants may receive different amounts of Tokens in any particular Airdrop depending on the determined by the Protocol for such Airdrop. The Protocol will have no obligation to notify potential Airdrop participants of eligibility criteria for any Airdrop prior to the execution of such Airdrop.&#x20;
8. The Protocol reserves the sole and absolute right to disqualify any proposed Participant it deems ineligible for an Airdrop (be it under these Airdrop Terms, Terms, or by having engaged in any conduct that the Protocol considers inappropriate or unacceptable).&#x20;
9. You shall not:&#x20;

* Use multi-accounts and/or multi-wallets;
* Attempt to cheat or hack the Airdrop or the Tokens;
* Carry out any kind of spamming; or
* Behave in a manner which the Protocol deems offensive or inappropriate, and any such behaviour will result in your removal from the Airdrop eligibility.&#x20;

**Airdrop Details**

1. Airdrop Period. The Airdrop will be conducted during the specified period, as determined by the Protocol at its absolute discretion (the “Airdrop Period”).&#x20;
2. Participation Requirements. You must be an eligible Participant and follow specific instructions set out by the Protocol hereto and/or any such instructions as are provided by the Protocol from time to time to participate in the Airdrop.
3. Token Allocation. The number of Tokens allocated to each Participant will be determined solely by the Protocol, and such allocation may vary among Participants.&#x20;
4. Purchase may be necessary. Participation in the Airdrop may require purchase or payment as specified in applicable instructions made available to you by the Protocol. The Protocol reserves the right to change any such instructions without prior notice to you. **Token Distribution**

1. Token Distribution. The distribution of Tokens will occur after the Airdrop Period ends, subject to successful verification and compliance with these Airdrop Terms and any applicable instructions made available to you by the Protocol.&#x20;
2. Wallet Requirement. Participants must provide a compatible wallet address capable of receiving the Tokens. Failure to provide a valid wallet address may result in the forfeiture of Tokens.&#x20;
3. Token Transfer. Tokens will be able to claim a share of the Airdrop amount based on the criteria set out by the Protocol, subject to technical limitations or delays. There may be transaction fees payable by the Participant to receive and/or claim such Tokens.&#x20;

3. Tokens are not intended to constitute securities of any form, shares of a company, units in a trust, units in a collective investment scheme or any form of investment in any jurisdiction.    * Any failure, malfunction, virus, error, bug, flaw, defect in the technology connected with or use for affection the Tokens or a Participant’s participation in the Airdrop;
   * Any prohibition, restriction, or regulation by any government or regulatory authority in any jurisdiction applicable to the Tokens or a Participant’s participation in the Airdrop;
   * Loss of possession of the credentials for accessing, or loss or destruction of the private keys, any wallet and/or the Participant’s designated wallet addresses, in any manner and to any extent;&#x20;
   * Failure to disclose information relating to the progress of the Airdrop;
   * Any risks associated with a Participant’s participation in the Airdrop and/or a Participant’s use of the Tokens;

# How to use the Redemption feature

You will always be able to swap 1 $USC for USD 1 worth of collateral on Orby’s platform.

1. Head to the [Redeem page](https://orby.network/redeem/)<br>
2. Input the amount of $USC you want to use. The corresponding amount of collateral that can be redeemed will be automatically calculated and displayed<br>

# Getting the Best Exchange Rate

Orby’s Redemption Mechanism does not always provide the best rate for you to swap out $USC for $cdcETH. Normally, this feature only makes sense to be used when the value of $USC falls below USD 1.&#x20;

There are alternative venues that could provide a more favourable USC:cdcETH exchange rate, such as swapping on a DEX or a DEX aggregator. In order to determine the best venue, Orby provides a real-time exchange rate comparison on the Redeem page, helping you get the best deal when swapping USC for cdcETH.

**How It Works**

* See live USC → cdcETH rates from Orby, VVS, and WOWMAX.
* The best rate is automatically highlighted.
* If Orby offers the best rate, redeem directly.
* If VVS or WOWMAX has a better rate, click the direct link to swap there.

This ensures you always get the best possible value.

# How to recover collateral after liquidation

To understand how liquidations work, head to [this section](/overview/liquidations-and-the-stability-pool/liquidations).&#x20;

You will be notified if you are fully or partially liquidated. Partial liquidations can only happen during Recovery Mode.&#x20;

## Fully Liquidated

The shuttle will be closed when it is fully liquidated. You will lose all your collateral, but get to keep the borrowed $USC. In order to start borrowing more $USC, you will need to reopen a new shuttle. This can be done by clicking on the “Start Borrowing” button and follow the steps as outlined [here](/user-guide/how-to-borrow-usdusc).

## Partially Liquidated

*\*this status will only be applicable during Recovery Mode*

When you are partially liquidated, all of your $USC debt will be repaid, but there will be some collateral leftover. In order to borrow more $USC, you first need to retrieve any remaining collateral. You can do so by clicking on the  “Recover collateral” button.&#x20;

## Partially Redeemed

Partial redemption means that part of your debt has been repaid, and a corresponding the amount of collateral has been paid out to the redeemer. Your shuttle remains active (open) and there is no other impact to your position.<br>

# Glossary of Terms

**$USC**: $USC is a stable, overcollateralized cryptocurrency within the Cronos Ecosystem, maintaining a hard peg to the US dollar. It aims to function as a secure store of value, a means for transactions, and a unit of account for on-chain products, backed by more than a dollar's worth of collateral for each circulating $USC. \[Get $USC]

**CDCETH**: CDCETH is the first token accepted as collateral within Orby Network. It is essentially a receipt token representing your staked Ether (ETH) and any accrued staking rewards. Read the [official whitepaper here](https://crypto.com/document/cdceth_whitepaper).

**CDCBTC**: cdcBTC is a token backed 1:1 by native Bitcoin (BTC), with the underlying BTC securely held in cold storage under Crypto.com’s custody. Read the whitepaper [here](https://crypto.com/document/cdcbtc-whitepaper.pdf).

**LCRO**: LCRO is a liquid staking token that represents staked CRO through Veno. It is a yield-bearing, auto-compounding asset, allowing users to passively earn staking rewards. Read more [here](https://crypto.com/en/product-news/crypto-com-app-lists-liquid-cro-lcro).

**CRO**: CRO is the native token of the Cronos chain. Read more [here](https://crypto.com/price/cronos).

**Fees**: Orby Protocol implements transaction fees which are applied to borrowing and redemptions. Every time new $USC is minted, users will incur a variable borrowing fee. Similarly, a variable redemption fee is charged every time the Redemption feature is used. There are no other fees charged on Orby.&#x20;

**Shuttle**: A shuttle is similar to a collateral debt position (CDP), and is a segregated account where a user goes to create and maintain his loan. Each type of accepted collateral will have its own shuttle.<br>

**Borrowing Fee**: a variable fee calculated as borrowing\_amount \* (BASE\_RATE + 0.5%), with a maximum cap of 5%. These fees are applicable during regular operating conditions (i.e. Normal Mode).<br>

**Borrowing Fee (during Recovery Mode)**: Set at 0% to encourage borrowing.<br>

**Repayment Fee**: There is no fee for debt repayment.<br>

**Redemption Fee**: a variable fee calculated as redemption\_amount \* (BASE\_RATE + 0.5%), capped at a maximum of 5%. These fees apply when users use the Redemption feature.<br>

**Liquidation reserve**: Amount set aside as gas compensation in event of a liquidation. The reserve is currently set at 20 $USC.  This reserve is otherwise not payable by the user and is burnt upon shuttle closure.<br>

**Collateral ratio**: Defined as the dollar amount of collateral relative to the dollar amount of debt

**Min collateral ratio per shuttle (MCR)**: The minimum level the collateral ratio must be maintained at to avoid liquidation. It varies based on the collateral type.<br>

**Minimum debt per shuttle**: The minimum amount of debt needed to keep the shuttle open. This minimum borrow amount is currently set at 100 $USC.<br>

**Liquidation penalty**: The percentage of collateral a liquidator will earn from liquidating a shuttle.

**Collateral Details**: Status monitors the Total Collateral Ratio (TCR) of each respective collateral in Orby’s ecosystem.\
Status is broken into 3 modes (Normal, Caution, Recovery), which vary depending on collateral. For example, the TCR for cdcETH is 150%. In such a case:

   1.1.7 Your access to the Site or the Interface is not (a) prohibited by and does not otherwise violate or assist you in violating any domestic or foreign law, rule, statute, regulation, by-law, order, protocol, code, decree, letter, or another directive, requirement, guidance, or guideline, published or in force that applies to or is otherwise intended to govern or regulate any person, property, transaction, activity, event or other matter, including any rule, letter, order, judgment, directive or other requirements, guidance, or guideline issued by any domestic or foreign federal, provincial or state, municipal, local or other governmental, regulatory, judicial or administrative authority having jurisdiction over Orby or you as otherwise duly enacted, enforceable by law, the common law or equity (collectively, "Applicable Laws"); or (b) contribute to or facilitate any illegal activity.

From time to time, the Site or the Interface may be inaccessible or inoperable for any reason, including, but not limited to: (a) equipment malfunctions; (b) periodic maintenance procedures or repairs that Orby or any of its suppliers or contractors may undertake from time to time; (c) causes beyond Orby's control or that Orby could not reasonably foresee; (d) disruptions and temporary or permanent unavailability of underlying blockchain infrastructure; or (e) unavailability of third-party service providers or external partners for any reason;\

   1.2.2. We reserve the right to disable or modify access to the Site and/or the Interface at any time in the event of any breach of these Terms, including, without limitation, if we reasonably believe any of your representations and warranties may be untrue or inaccurate, and we will not be liable to you for any losses or damages you may suffer as a result of or in connection with the Site or the Interface being inaccessible to you at any time or for any reason;\

   1.2.3. The Interface may evolve, which means third parties may apply changes, replace, or discontinue (temporarily or permanently) the access at any time in their sole discretion;\
   \
   1.2.4. You are solely responsible for your use of the Site and/or the Interface, including all of your transfers of digital assets;\

   1.2.5. You are solely responsible for reporting and paying any taxes applicable to your use of the Interface; and\

   1.2.6. We have no control over, or liability for, the delivery, quality, safety, legality, or any other aspect of any digital assets that you may transfer to or from a third party, and we are not responsible for ensuring that an entity with whom you transact completes the transaction or is authorized to do so. If you experience a problem with any transactions in digital assets using the Site or the Interface, you bear the entire risk.\ <br>
2. **PROHIBITED USES**\

   2.1 By using the Site and/or the Interface, you agree and confirm that you will not engage in any of the following prohibited uses (the specific activities set forth are representative but not exhaustive):\

   2.1.1. Promote or facilitate illegal activities, including but not limited to money laundering, terrorist financing, tax evasion, buying or selling illegal drugs, contraband, counterfeit goods, or illegal weapons;

   2.1.3 Uploading or transmitting viruses, worms, Trojan horses, time bombs, cancelbots, spiders, malware, or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Site or the Interface;\

   2.1.4. Use the Site or Interface in any way that is, in our sole discretion, libelous, defamatory, profane, obscene, pornographic, sexually explicit, indecent, lewd, vulgar, suggestive, harassing, stalking, hateful, threatening, offensive, discriminatory, bigoted, abusive, inflammatory, fraudulent, deceptive, or otherwise objectionable or likely or intended to incite, threaten, facilitate, promote, or encourage hate, racial intolerance, or violent acts against others;\

   2.1.5 Harass, abuse, or harm another person or entity, including any of Orby's collaborators and service providers;\
   \
   2.1.6. Impersonate another user of the Site or the Interface or otherwise misrepresent yourself; or\
   \
   2.1.7. Engage or attempt to engage or encourage, induce or assist any third party, or yourself attempt, to engage in any of the activities prohibited under this Section 2 or any other provision of these Terms.\ <br>
3. **FEES AND PRICE ESTIMATES**\

   In connection with your use of the Interface and Site, you are required to pay all fees necessary for interacting with the Cronos blockchain, including any applicable gas costs and all other fees reflected on the Interface at your use. We will attempt to provide accurate fee information; however, all information provided reflects only an estimate of fees, which may vary from the actual fees necessary and paid for transactions and interacting with public blockchain networks.\

   7.2.1. Orby is not responsible for the operation of the open-source software and blockchain networks underlying the Interface;\

   7.2.2. There exists no guarantee of the functionality, security, or availability of the open-source software and blockchain networks underlying the Interface; \

   7.2.3. The underlying blockchain networks are subject to sudden changes in operating rules (each a “**Fork**”) which are exogenous to Orby and may result in more than one version of such network. Such Fork(s) may materially affect the Interface as well as the value, function and/or name, and may result in loss of control or ownership, of your digital assets. If a Fork occurs, it may also result in the creation of a new digital asset (“**Forked Asset**”) related to an existing digital asset (the “**Prior Asset**”). We have no control over, nor do we have the ability to influence, the creation or implementation of a Fork or of the Forked Asset. We can provide no assurances about the security, functionality or supply of any digital asset, including both the Prior Asset and the Forked Asset. You understand, acknowledge and agree that we assume no liability relating to any change in the value of any digital asset (whether or not resulting from a Fork). You understand, acknowledge and agree that a Fork could constitute a force majeure event beyond our reasonable control, which could affect the value of your digital assets, and that Orby does not assume any liability resulting from such events.\

   7.2.4. You are solely responsible for securing your private key(s). We do not have access to your private key(s); losing control of your private key(s) will permanently and irreversibly deny you access to any blockchain-based network. Neither Orby nor any other person or entity will be able to retrieve or protect your digital assets. If your private key(s) are lost, you will not be able to transfer your digital assets to any blockchain address or wallet. If this occurs, you will not be able to realize any value or utility from the digital assets you may hold.\

   7.3. The Interface may contain references or links to third-party content and/or resources, including, but not limited to, information, materials, products, or services, that we do not own or control, for which Orby is not responsible. In addition, third parties may offer promotions related to your access and use of the Interface. Orby does not endorse or assume any responsibility for any such resources or promotions. If you access any such resources or participate in any such promotions, you do so at your own risk, and you understand that the Terms do not apply to your dealings or relationships with any third parties. You expressly relieve us of any and all liability arising from your use of any such resources or participation in any such promotions.\

You understand that the Cronos blockchain remains under development, which creates technological and security risks when using the Interface, in addition to uncertainty relating to digital assets and transactions therein. You acknowledge that the cost of transacting on the Cronos blockchain is variable and may increase at any time, causing an impact on any activities taking place on these blockchains, which may result in price fluctuations or increased costs when using the Interface.\

   7.5 You understand that the Protocol is a decentralized application and therefore can easily be integrated into third-party projects and/or applications. The same applies to $USC or other Protocol related token(s). Any reference to such an integration or use-case within the Site is for informational purpose only. Orby Network is not involved, does not support, audit, monitor nor is otherwise connected to any such third-party projects or applications.\

   7.6 Transactions entered into in connection with the Interface are irreversible and final, and there are no refunds. You acknowledge there is a real risk that assets deposited into the Protocol and Protocol related tokens (e.g. $USC) and collateral may suffer complete and permanent economic loss should the Protocol’s technical or economic mechanisms suffer catastrophic failure. You acknowledge and agree that you will access and use the Protocol, Site and Interface at your own risk.\

   7.7. We must comply with Applicable Law, which may require us to, upon request by government agencies, take certain actions or provide information that may not be in your best interests.\

   8.1. Orby is an informational site for the Protocol. Orby has no oversight, involvement, or control concerning your transactions using the Interface. Any and all transactions between users of the Interface are executed peer-to-peer directly between the users' blockchain addresses through a third-party developed open-source smart contract.\

Orby is not part of any transaction on the blockchain networks underlying the Protocol; we do not have possession, custody, or control over any crypto assets appearing on the Interface; and we do not have possession, custody, or control over any user's funds. Further, we do not store, send, or receive any crypto assets. You understand that when you interact with any Protocol smart contracts, you always retain control over your crypto assets. We do not have access to your private keys.\

   8.3. You are responsible for complying with all Applicable Laws that govern your use of the Protocol, Site and Interface. \

We reserve the right to assume, at your expense, the exclusive defense, and control of any matter subject to indemnification by you. You agree to cooperate with our defense of any claim. The law of this arbitration clause shall be Hong Kong law. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.\ <br>
13. **GOVERNING LAW**\

    The interpretation and enforcement of these Terms, and any dispute related to these Terms, the Site, or the Interface, will be governed by and construed and enforced under the laws of Hong Kong, as applicable.\ <br>
